VITALGAS PORTAL TERMS OF USE Version: 1.0 Effective date: 01/28/2026 PLEASE READ CAREFULLY. By accessing or using the VitalGas customer portal (the “Portal”), you agree to these Terms of Use (the “Terms”). If you do not agree, do not use the Portal. You represent that you are authorized to accept these Terms on behalf of your organization, or that your organization has authorized you to accept these Terms as an end user. 1) The Portal and Who We Are VitalGas provides monitoring and reporting tools related to industrial gas usage and related system events. VitalGas is not your gas supplier and does not provide gas delivery services. 2) Accounts and Authorized Use - You may use the Portal only if you are authorized by your organization. - You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. - Notify your administrator promptly if you believe your account has been compromised. 3) Information Only; Your Responsibility - The Portal is provided for informational purposes only. - You are responsible for reviewing Portal data and using your own judgment when making operational decisions. - You are responsible for ensuring appropriate gas supply, safe operation, and compliance with applicable safety procedures and regulations. 4) Data Collection and Connectivity - Portal functionality depends on device connectivity and data transmission. - Data may be delayed, incomplete, or unavailable due to connectivity interruptions, device issues, maintenance, or other factors. 5) Your Data; Privacy - Your organization retains ownership of data submitted to the Portal or generated from your use of the Portal (“Customer Data”). - VitalGas may access, process, and use Customer Data to provide, maintain, support, secure, and improve the Portal, including troubleshooting and analytics. - VitalGas will handle account information and Customer Data consistent with its privacy and security practices. 6) Alerts and Notifications (Best-Effort) - The Portal may provide alerts/notifications (e.g., scheduled or usage-based) via email or other channels configured by your organization. - Alerts are best-effort and are not guaranteed to be timely, delivered, or accurate. 7) Acceptable Use You agree not to: - use the Portal in a manner that violates applicable law, regulations, or your organization’s policies; - misuse the Portal, interfere with its operation, or attempt to bypass security controls; - access the Portal or data you are not authorized to access; - reverse engineer, decompile, or attempt to extract source code except to the extent permitted by law; or 8) Intellectual Property The Portal and its content (excluding your organization’s data) are owned by or licensed to VitalGas and are protected by intellectual property laws. No rights are granted to you except as expressly stated in these Terms. 9) Availability; Changes - The Portal is provided “as is” and “as available.” - VitalGas may modify, suspend, or discontinue the Portal (in whole or in part) at any time. - VitalGas may update these Terms from time to time. If we make material changes, we may require you to re-accept the updated Terms before you can continue accessing the Portal. - Continued use of the Portal after updated Terms become effective means you accept the updated Terms. 10) Disclaimer of Warranties To the maximum extent permitted by law, VitalGas disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. VitalGas does not warrant that the Portal will be uninterrupted, error-free, or that data/alerts will be accurate or timely. 11) Limitation of Liability To the maximum extent permitted by law, VitalGas will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, business interruption, or loss of data, arising out of or related to your use of (or inability to use) the Portal, even if advised of the possibility of such damages. VitalGas’s total liability for any claim related to the Portal will not exceed the amounts paid by your organization to VitalGas for the Portal in the twelve (12) months preceding the event giving rise to the claim. 12) Termination VitalGas may suspend or terminate access to the Portal if it reasonably believes there has been a violation of these Terms, a security risk, or unauthorized access. Your organization may also revoke your access at any time. 13) Governing Law These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-laws rules. 14) Contact Questions about these Terms or the Portal should be directed to: support@mg.gasmonitor.io.
